Glycorex acknowledges receipt of Buyer´s order, and accepts Buyer´s order expressly conditional on Buyer´s assent to the terms and conditions herein contained, whether additional to or different from those in Buyer´s purchase order or any other form or document heretofore or hereafter by Buyer to Glycorex.

Prices. Will be quoted by each enquiry, Duty, Federal and Provincial Sales Tax excluded. The current price will be confirmed via fax after your order is placed. If bulk quantities are desired we are willing to negotiate a special arrangement. The freight charges and any other shipment charges are prepaid by Glycorex and added to the invoice. Local taxes, custom duties and other charges are the responsibility of the customer.

Payment terms. Will be quoted by each enquiry. If not otherwize stated on the invoice, payment is to be made by cheque or direct credit transfer in Swedish kronor or in US Dollars at the prevailing exchange rate. Prepayment of an initial order may be required with completion of credit application. Any Buyer who has not effected payment by the due date shall by operation of law be deemed to be in default and without any adhortation being required shall owe interest on the outstanding amount from the final due date. The rate of interest shall be the statutory rate augmented by one (1) percentage point. Any Buyer who fails to pay the amount owed by the due date shall be obliged to reimburse Glycorex AB for any expenses, including extra judicial collection charges and the cost of legal aid incurred to collect the claim in a legal procedure. Glycorex AB shall be competent to fix the cost, not including the collection procedure itself and the cost of execution at fifteen (15) percent of the principal owed.

Delivery. We will mail small orders and send larger orders by courier. Whenever possible, we will ship by the method you specify. When complete orders can not be shipped, partial shipments will be made at our discretion. If partial shipment is unacceptable, this must be stated at the time the order is placed. Time of delivery is normally within 25 days after receipt of your order, unless otherwize informed and agreed upon. In case of a delay which is unavoidable or beyond our reasonable control, the delivery date will be postponed with a reasonable period of time. The Buyer cannot derive any right from any delay, which is no longer than one week. Thereafter, the buyer's rights are limited to cancellation of the order.

Lost or Damaged Shipments. Products are sold F.O.B. shipping point, fully insured at the Buyer´s expense. However, if assistance is required in filing a claim for a lost, inclomplete, or damaged shipment, we will be happy to help you.

Purity. Glycorex considers quality an essential criterion for ever product. All chemicals listed are subjected to exacting tests with NMR and HPLC in our quality control department for determination of purity. The purity stated on our labels are typical values; they may vary slightly from batch to batch. If more information is needed concerning quality, please contact us.

Toxicity and Hazards. All of our chemicals should be handled only by qualified personnel trained in laboratory procedures, and familiar with the potential hazards. Information is not available on the possible hazards of most compounds. The absence of a warning must not be interpreted as indication of safety. The ultimate responsibility for the proper handling of any and all chemicals lies with the user.

Warranties. All compounds are delivered according to our stated specifications. This warranty is exclusive, and seller makes no other warranty, expressed or imolied, including any implied warranty of merchantability or fitness for any particular purpose. Glycorex´s sole and exclusive liability and Buyer´s exclusive remedy with respect to products proved to Glycorex´s satisfaction to be defective or nonconforming shall be the replacement of such products without charge or refund of the purchase price, at the sole discretion of Glycorex, upon the return of such products in accordance with Glycorex´s instruction. Items which are authorized by Glycorex for return must arrive at Glycorex in excellent condition and not later than 20 days after receipt of goods to be eligible for a replacement. No cash refunds will be issued. Glycorex shall not be liable for any incidental, consequential or contingent damages. Buyer must notify Glycorex within five days after the products have been received or such products shall be deemed to have been accepted. No license or immunity under any patent is granted or is to be implied by or from the sale of any product.

Use of Products. Glycorex´s products are intended for laboratory research purposes only, and are not to be used for any other purposes. Buyer agrees to indemnify and hold Glycorex AB harmless from and against any and all losses, damages and expences whatsoever or howsoever caused, arising from any use by Buyer of the product; and assumes all risk and liabilities resulting from the use of the products whether used singly or in combination with other products.

Patent Disclaimer. The responsibility of all patent considerations in the use of our chemicals rests solely with user. Suggestions and recommendations for the use are not to be taken as a license to operate under or to infringe any patent.

Custom Synthesis is undertaken according to terms and conditions given below. The cost of a custom synthesis includes necessary literature searches. Therefore, any available relevant references should accompany the initial request for quotations. Because of the uncertainties inherent in custom synthesis, quoted delivery dates are best estimates. We reserve the right to make partial delivery at a pro-rated price. Any custom project is strictly confidential. Glycorex reserve the rights to market those custom-designed conjugates that have been previously described in the literature. Upon request Glycorex will withhold sales for a period of time while the contracting partner examines their application. If Glycorex develops a new approach to meet the specification described by the customer, Glycorex will generally retain rights over the technology. If there are questions as to any future rights to materials, these should be covered in an agreement before the synthesis starts.

Law. This agreement shall be deemed to have been made in Sweden and shall be governed by the law in Sweden. Arbitration shall take place in Malmö, Sweden, in accordance with the rules of the Swedish Chamber of Commerce.
